| Description (Please provide a detailed description of the event in the box below) | We, Thai Beverage Public Company Limited ("THBEV"),would like to announce that Certu Systems, Inc. ("Certu Systems"), a joint venture of THBEV (formerly known as ChyData, Inc.), has incorporated a new subsidiary, Certu Systems Ltd. ("Certu Systems Thailand"), in Thailand. Certu Systems holds 99.99 % in Certu Systems Thailand while three shareholders hold one share each. Certu Systems Thailand has a registered capital of Baht 3,000,000 consisting of 30,000 ordinary shares with a par value of Baht 100. Certu Systems Thailand will be principally engaged in business relating to software. The aforesaid investment was funded through internally generated funds and is not expected to have any material impact on the earnings per share and net tangible assets of THBEV for this financial year. To the best knowledge of the directors of THBEV (the "Directors"), neither of the Directors nor substantial shareholders of THBEV have any direct or indirect interest (other than through their respective shareholdings in THBEV), in the aforesaid transaction.
