| Description (Please provide a detailed description of the event in the box below) | We, Thai Beverage Public Company Limited ("THBEV"), would like to announce that C.A.I. (Social Enterprise) Co., Ltd., a direct wholly-owned subsidiary of THBEV, has incorporated a new wholly-owned subsidiary, Sustainability Expo Co., Ltd. ("Sustainability Expo"), in Thailand. C.A.I. (Social Enterprise) Co., Ltd. holds 99.999% in Sustainability Expo while one other shareholder holds one share. Sustainability Expo has a registered capital of Baht 1,000,000 consisting of 100,000 ordinary shares with a par value of Baht 10. Sustainability Expo will be principally engaged in the operating service business of sustainable development administration and management in relation to environment, social and governance matters. In particular, the company will focus on public engagement and communication to raise awareness on ESG topics, including but not limited to the organization of annual Sustainability Expo (SX). The current intention is that there will be no distribution of any dividends by Sustainability Expo to its shareholders, and any profits generated by Sustainability Expo shall be used to fund its sustainable development activities. The aforesaid investment was funded through internally generated funds and is not expected to have any material impact on the earnings per share and net tangible assets of THBEV for this financial year. To the best knowledge of the directors of THBEV (the "Directors"), neither the Directors nor substantial shareholders of THBEV have any direct or indirect interest (other than through their respective shareholdings in THBEV), in the aforesaid investment.
