| Description (Please provide a detailed description of the event in the box below) | We, Thai Beverage Public Company Limited ("THBEV"), would like to announce that C A C Co., Ltd. ("C A C"), a direct wholly-owned subsidiary of THBEV, has incorporated a new subsidiary, Bangkok Art Biennale Management Co., Ltd. ("BAB Management"), in Thailand. C A C holds 99.997% in BAB Management while the three remaining shareholders, including Mr. Thapana Sirivadhanabhakdi, a director of THBEV, hold 1 share each. The other two remaining shareholders are not interested persons of THBEV. BAB Management has a registered capital of Baht 1,000,000 consisting of 100,000 ordinary shares with a par value of Baht 10. BAB Management will principally engage in managing and providing the services in connection with promoting and supporting arts and culture. The aforesaid investment was funded through internally generated funds and is not expected to have any material impact on the earnings per share and net tangible assets of THBEV for this financial year. Save as disclosed above, to the best knowledge of the directors of THBEV (the "Directors"), none of the Directors or substantial shareholders of THBEV has any direct or indirect interest in the aforesaid transaction.
